William Logan's practice focuses on public finance, consumer credit, financial institutions regulatory law, securities law and general corporate law matters. Prior to joining Dykema, he was an Assistant Attorney General of the State of Michigan in the Finance and Development Division. Previously, he served as a judicial law clerk in the United States District Court, Eastern District of Michigan, for the Honorable Robert H. Cleland and the Honorable James P. Churchill. Prior to beginning his legal career, Mr. Logan was a business owner of a retail fabric establishment.
Experience
Extensive experience in tax-exempt public finance transactions with aggregate principal amounts in excess of $2 billion as bond counsel, underwriter's counsel, letter of credit bank counsel and borrower's counsel, including preparing bank, financing, tax and disclosure documents and providing advice to banking, underwriting and public and private entities regarding revenue bond, special assessment, building authority and working capital financings, federal securities laws and the Internal Revenue Code, including the arbitrage and rebate requirements of the Code and private activity bond analysis.
Served as State of Michigan counsel for mortgage bond financings for country's largest private electric transmission company.
Extensive experience providing advice to and assisting consumer financial services companies, banks and credit unions, including counseling companies with respect to the Truth In Lending Act, DIDMCA, Parity Act, RESPA, State of Michigan Consumer Finance laws, State of Michigan Mortgage Broker, Servicers and Lenders laws, State of Michigan Banking laws, State of Michigan Real Estate laws and Section 1031 like-kind exchanges.
Represented consumer financial services companies, mortgage brokers and lenders and insurance agencies before the Michigan office of Financial and Insurance Services.
Experience assisting utility cooperatives with RUS, zero interest and intermediary relending program financings with the USDA.
Advised small businesses with respect to entity formation, employee matters, litigation avoidance, real estate purchases; acquisition financings, bank financing and stock sales; prepared and filed applications for tax-exempt status and charitable solicitation licenses for non-profit charitable organizations.
Representative tax-exempt public finance clients include Wall Street investment banking firms, national and state banks, the State of Michigan, local governmental units, local and state financing authorities, hospitals, community colleges, public schools and public school academies.
Notable transactions as bond counsel or underwriter's counsel include the first ever Grant Anticipation Note financing for the Michigan Department of Transportation, the Long-Term Certificates of participation involving the renovation of the former General Motors Building and lease by the State of Michigan, and establishing the Michigan Public Educational Facilities Authority and successfully completing State Aid Anticipation Notes financings for Michigan charter schools.
