William Torchiana has been a partner in Sullivan & Cromwell's Financial Institutions Group since 1995. He has broad-based experience in transactional and regulatory matters involving foreign and domestic insurance and reinsurance companies and other financial institutions. In addition to domestic and cross-border corporate finance transactions, Mr. Torchiana has advised a number of foreign financial institutions on their acquisitions of U.S. and non-U.S. insurers and reinsurers. Since 2004, Mr. Torchiana is the Managing Partner of the Firm's Paris office. Selected Financing Transactions Mr. Torchiana has worked on: The largest insurance company public offering in the United States (Allstate); The first mutual holding company IPO and subsequent demutualization (AmerUs Group); Numerous other public offerings, Rule 144A offerings, demutualizations, conversions and other transactions involving U.S. and non-U.S. insurance companies; U.S. listings or global offerings by ING Group (Netherlands), Allianz (Germany) and SCOR (France); The privatizations of UAP (France) and INA (Italy); Financings for insurers and reinsurers in Bermuda, Latin America, Europe and other non-U.S. jurisdictions; and Offshore insurance/reinsurance securitization and derivative transactions involving the transfer of catastrophe, mortality and life/health risks to the capital markets by Aura Re, Atlas Re, Mosaic Re, Pacific Re, Trinity Re and others.
