William C. Richardson has served as a director of CSX since December 1992. He is Immediate Past President and Chief Executive Officer of the W.K. Kellogg Foundation, a major philanthropic institution. Dr. Richardson also has served as Co-Trustee of the W.K. Kellogg Trust. He is a director of The Bank of New York Company, Inc. and Exelon Corporation.
Dr. Richardson is Chairman of the Compensation Committee, and is a member of the Audit and Executive Committees. The Board of Directors has determined that Dr. Richardson is "independent" within the meaning of the Company's director independence standards and the director independence standards of The New York Stock Exchange. |
