Walt Draney is an associate in the firm's Corporate and Securities Group and has been practicing law since 1999 when he joined Chapman and Cutler LLP. Mr. Draney currently works in the corporate securities area, with an emphasis on traditional securities transactions. Mr. Draney represents clients in the structuring and negotiation of public and private securities transactions, including the drafting and review of registration statements, trust indentures, underwriting agreements, acquisition agreements and the documentation required for registration with the SEC and listing on NASDAQ and the NYSE. Mr. Draney represents a wide range of clients in public and private offerings of debt and equity securities as issuer's and underwriter's counsel and with ongoing compliance issues, including the Sarbanes-Oxley Act of 2002. He advises publicly held companies with respect to the preparation and review of proxy materials, periodic and current reports required to be filed with the SEC and other matters relating to securities law compliance. Furthermore, Mr. Draney serves as trustee's counsel in numerous public and private corporate debt, securitization and CDO transactions. |
