Mr. Deitch engages in a general corporate and commercial law practice, focusing on commercial transactions, mergers and acquisitions, corporate finance, including commercial and asset-based loans, securitizations, and issuance of equity and debt securities in offerings exempt from registration. His practice includes entity organization and general corporate counseling of both for profit and not for profit corporations. He represents issuers, underwriters, financial institutions and borrowers in tax-exempt financing, as well as a variety of closely held business enterprises and not for profit social service and educational organizations.
Before joining Dykema, Mr. Deitch was a Member of a major Chicago law firm. Prior to that, he clerked for Chief Justice Roger J. Traynor of the California Supreme Court.

Securitizations: representation of sellers of trade receivables and liquidity providers for asset-based commercial paper
Tax-exempt financings: representation of for-profit borrowers of private activity bonds, non-profit borrowers of 501(c)(3) bonds and issuers, underwriters and liquidity providers of tax-exempt bonds and institutional purchasers of privately placed tax-exempt bonds and notes
Tax-increment financings: representation of developers and institutional purchasers of real estate tax-increment bonds and of retailers in sales tax based tax-increment financings

Equity financings: representation of issuers in private placement of equity interest in startup entities and real estate syndications
