Tia Barancik joined Sullivan & Cromwell's mergers and acquisitions group as Special Counsel in October 2006. She has extensive experience advising and structuring strategic M&A, investment and credit transactions with a particular emphasis on regulated energy companies and public utilities. Ms. Barancik regularly counsels companies, private equity firms, investment banks and investors on the design and development of innovative and complex transaction structures to permit transactions to proceed in compliance with applicable federal energy regulatory statutes. Ms. Barancik also advises on energy legislation and regulatory reform efforts. Prior to joining the Firm, Ms. Barancik had been a corporate partner in the New York office of Atlanta-based King & Spalding LLP, prior to which she had been a partner of Leboeuf, Lamb, Greene & MacRae, LLP. Selected Transactions Ms. Barancik has worked on several major transactions in the energy sector including: the pending going private acquisition of Puget Energy by a consortium of private investors; Scottish Power's sale to Iberdrola; Israel Corp.'s and DS Constructions' acquisition of a portfolio of Latin American power companies from Globeleq; German power giant E.ON's acquisitions of gas utility Ruhrgas and British electric utility Powergen; Dominion Resource's merger with Consolidated Natural Gas; National Grid s acquisition of New England Electric System; United Water's sale to Suez; and National Grid's transmission joint venture with GridAmerica and its attempted joint venture with Alliance RTO. In addition, Ms. Barancik has advised private equity firms and other financial investors on various investments in U.S. and non-U.S. public energy and utility companies; private pipeline and transmission companies; independent power companies; and start-up energy projects. Ms. Barancik also advises financial institutions on specific energy industry and regulatory issues impacting credit decisions and compliance with FERC regulations. Professional Activities and Community Involvement Ms. Barancik frequently speaks and writes on the intersection of corporate and regulatory issues affecting energy companies as well as on legislation and reform efforts in the energy area.
