Thomas K. Brown is a partner in the law firm of McDermott Will & Emery LLP based in the Firm’s Orange County office. He is a member of the Firm’s Corporate Department, where his practice focuses on real estate transactional matters. He has worked extensively with real estate developers, lenders, investors, landlords and tenants.
Thomas has represented clients in all aspects of real estate transactions including acquisition and disposition, financing, commercial and industrial leases, common-interest subdivisions, residential, commercial and industrial construction projects, development entitlements, and formation of joint ventures and partnerships (public and private) for real estate development and investment. In secured real estate finance matters, Thomas has represented lenders and borrowers in construction and permanent financings (including long term leasehold financings) and distressed loan workouts.
Thomas has also served as counsel to debtors, creditors and creditor committees in bankruptcies involving significant real property assets. Thomas has acted as real estate counsel to the buyer of a golf course and related facilities in a Chapter 11 bankruptcy reorganization and, in another Chapter 11 reorganization, represented the buyer of a hotel.

the formation and representation of a joint venture in the acquisition of 3,800 acres in Southern California to be developed as a master planned community.
Thomas served as associate editor of the Santa Clara Law Review, 1977 to 1978.
Thomas is a member of the bar of the State of California. He is also a member of the Orange County, California Bar Association.
