Mergers, acquisitions, joint ventures and other business transactions, including asset purchases and stock purchases, representing both buyers and seller. Mr. McGraw has represented providers in connection with the purchase or sale of more than a dozen Michigan hospitals.
Antitrust aspects of hospital merger and acquisition transactions including Hart-Scott-Rodino Act Compliance and federal antitrust investigations.
Hospital-physician joint ventures, including structuring transactions involving joint ownership of ambulatory surgical centers and preparation of private placement memoranda and operating agreements.
Fraud investigation and compliance matters, including representation of providers in connection with investigations conducted by the U.S. Attorney for the Eastern District of Michigan, U.S. Attorney for the Western District of Michigan, HHS-Office of Inspector General, and Michigan Attorney General.
Hospital outsourcing arrangements including outsourcing of information technology and health information management functions.
Stark and other physician self-referral matters, including structuring agreements and transactions to comply with applicable legal restrictions. |
