Tom Wood, of counsel to the firm, has over 35 years’ experience as a business lawyer with Drinker Biddle & Reath. His practice has included both transactional matters (M&A work, securities offerings) and the ongoing general counsel representation of publicly traded and closely held corporations, partnerships, limited liability companies and individuals.
Clients. Among Tom's clients have been:
The largest distributor of laboratory supplies in the U.S.;
The nation’s largest provider of computer software systems and services to hospitals and other health care providers;
Startup ventures;
Companies engaged in developing, licensing and joint-venturing software, biotechnology, pharmaceutical and other technology products; and
Registered investment advisory firms.
Technology. Throughout his career, Tom has worked with software and other technology companies with legal needs in intellectual property, technology transfer, joint venture or strategic alliance, and basic organizational and financial matters.
Mergers and Acquisitions. Tom's clients have included public and privately held companies (buyers and sellers), whose transactions, often international, have commonly included corporate finance and securities law considerations. He has also represented clients in the acquisition and disposition of registered investment advisory firms and practices.
Securities Practice. Tom has advised clients with respect to reporting and disclosure obligations under federal securities laws, and federal and state regulation of investment advisors. He has extensive experience in the public and private placement of corporate and partnership securities.
In General. Tom is a graduate of Amherst College and received his law degree from the University of Pennsylvania Law School. He is chairman of the Easttown Township Zoning Hearing Board and was, for 10 years, a trustee of The Baldwin School. |
