Thomas C. Janson is a partner in the international law firm of Milbank, Tweed, Hadley & McCloy LLP.
Mr. Janson has extensive experience in Mergers & Acquisitions, Capital Markets transactions and Restructurings. He has executed over $80 billion in transactions, with an emphasis on complex transactions involving media, entertainment and telecommunications companies, healthcare companies, hospitality companies and real estate companies. He also counsels companies and boards on general corporate matters, including governance and fiduciary duty issues. Prior to joining Milbank, Mr. Janson headed up the M&A advisory and business development activities for Epoch Partners, an investment bank specializing in emerging and high growth technology companies. He also served as Executive Vice President and General Counsel for Starwood Hotels & Resorts Worldwide, Inc., one of the world's largest lodging companies. Prior to joining Starwood, he was a corporate partner in the Los Angeles office of Skadden, Arps, Slate, Meagher & Flom LLP.

Mr. Janson has represented both issuers and underwriters in numerous capital markets transactions, including Initial Public Offerings, Follow-On Equity Offerings, High Yield and Investment Grade Debt Offerings, MTN Programs, Private Placements, including Rule 144A and Regulation S offerings, Eurobond financings and other specialized finance transactions, including LBO financings. He has also advised companies and investors on a wide range of venture capital investments. In the restructuring area, he has been involved in a number of debt restructurings, exchange offers and debt consent solicitations.
Mr. Janson received a B.S. degree in biochemistry from the Massachusetts Institute of Technology and a J.D. degree (cum laude) from the University of Miami School of Law. |
