Mr. Romer is a Shareholder in Brownstein Hyatt Farber Schreck’s Denver office and a member of the firm’s Corporate & Business Department. With a predominantly corporate transactional practice, he focuses on mergers and acquisitions, securities, finance and business formation. Mr. Romer has represented both buyers and sellers in a variety of public and private multi-million- and multi-billion-dollar transactions in the oil and gas, banking, high tech, veterinary, hospitality and telecommunications industries. He has advised clients on public-private and public-public mergers, private investment public entity (PIPE) acquisitions, stock and asset purchases, stock swaps and cash mergers. In the area of securities law, Mr. Romer assists public companies to prepare federal and state securities filings, helps public and private companies raise capital through private placements, counsels corporate and individual clients on securities law violations, advises managers of investment funds and partnerships on securities law matters and counsels individuals on federal securities ownership reporting rules. Mr. Romer also counsels clients on the formation of corporations, limited liability companies and limited partnerships under Delaware and Colorado law, as well as preparation of Delaware and Colorado limited partnership and operating agreements. He also negotiates bank financings and private equity investments. |
