Tom's practice involves the representation of manufacturing, wholesale, distribution and service enterprises in a broad range of general business and real estate transactional work and counseling. Clients include consumer product companies ranging from home, garden and pet product manufacturers and distributors and wholesale growers of nursery products to satellite communications equipment manufacturers. He also represents clients in industries such as outdoor media advertising, security and fire protection providers and environmental consulting engineers.
With more than 40 years of private practice law firm experience in business and real estate, Tom handles matters including mergers and acquisitions, establishment of credit facilities, workouts and general corporate and business counseling at the operations level. He has negotiated and drafted agreements related to these subject areas as well as shareholder buyouts, employment and distributorship agreements, product licenses, leases and real property purchase and sale transaction documents. He has represented listed companies, as well as unlisted regional companies and local concerns in their legal affairs on an ongoing basis.
In the early portion of Tom's career, he obtained substantial business litigation experience, including trials and appeals. He has handled a broad spectrum of litigated disputes involving contract claims, employment matters, and various types of real estate matters, appearing before courts and administrative bodies.
