Thomas A. McGavin, Jr. is a corporate partner in the law firm of McDermott Will & Emery LLP based in the Firm’s New York office. As a member of the Firm’s Corporate Department, and head of its Structured Finance Practice Group, Tom advises U.S. and foreign commercial banks, investment banks and other financial institutions operating in the United States and globally as dealers in the derivative and structured products markets. He advises on regulatory matters, negotiation and documentation of derivative and structured transactions, dispute resolution and financing. His practice includes corporate and securities transactional work with a focus on the development and application of financial products in the public and private securities and derivatives markets. Tom currently focuses extensively on products in the credit and equity derivatives markets, including over-the-counter credit and equity derivatives and structured securities. He is also a leader in the developing market for securitization of private equity fund investments.
Over the years, Tom has developed substantial experience in the application of the federal securities laws, banking regulation and commodities laws. He also works on other transactions in which derivative financial products are applied in the asset-backed and structured finance markets, including credit derivatives, cash and synthetic collateralized debt obligations and similar transactions. Tom has spurred major innovations in the use of financial products in the public finance markets; from the application of sophisticated tax strategies and more recently to the development of derivative products. His seminal articles on the application of derivative products in the U.S. public finance markets prompted the development of legal standards in these markets. Tom’s graduate degree in federal income taxation and his early practice experience in the tax field enable him to add a broad tax perspective to his corporate transactional advice.
