Theresa M. Skaine focuses her practice in the areas of business and not-for-profit corporate law, condominium development and regulation, and estate planning and administration. She has extensive experience with sales and purchases of assets, businesses, and ownership interests, as well as with buyouts, public offerings of securities, and New York, Delaware, Massachusetts, and Pennsylvania corporate and business entity laws. She has represented developers of condominium and HOA projects related to the formation of such entities and the preparation of and prosecution before the Attorney General of offering plans and associated approvals. She also has experience in the area of estate planning and administration, including tax planning, probate and administration procedures, and the preparation of estate documents.
Ms. Skaine has represented project developers, consulting firms, software manufacturers, construction companies, automobile sales and service companies, commercial real estate management companies, fuel distributors, and mortgage brokers, among others. She represents several not-for-profit entities in New York State and has extensive experience in obtaining 501(c)(3) status for her not-for-profit clients, which include a community development group, economic development entities, several disaster relief foundations, and a crisis response team.
Ms. Skaine acted as counsel in a $5 million leveraged buyout of a specialty manufacturing company, a $4.5 million management buyout of a bottled water company, and an $11 million leveraged buyout of a textile manufacturer. She has further represented developers of condominium and fractional interest projects in the Capital and Adirondack Regions. She is experienced in commercial leasing, software licensing, banking, venture capital and seller financing transactions, employment and ownership agreements, and formation of entities.
Ms. Skaine is admitted to the New York State Bar. She is a member of the New York State and Capital District Women’s Bar Associations. She serves as a Director for the Wesley Health Care Foundation and the Saratoga County Domestic Violence and Rape Crisis Services Agency, both located in Saratoga Springs, New York, and is a 2006 graduate of Leadership Saratoga. |
