Susan King provides a broad range of clients with general corporate and business representation. She frequently represents both buyers and sellers in merger and acquisition transactions, helping clients understand the legal framework which underlies successful transactions. She also negotiates deal terms, assists with due diligence and drafts all necessary documents to consummate deals.
Ms. King has assisted numerous companies with the private placement of debt and equity securities, including venture capital transactions. Services include the preparation of subscription and purchase agreements, disclosure documentation, revisions to related corporate documents and shareholder agreements, and all federal and state securities filings required in connection with those transactions.
In addition to providing transactional representation in securities offerings and mergers and acquisitions transactions, Ms. King provides general business representation. She counsels clients on diverse corporate and business issues, including formation of corporations and limited liability companies, corporate governance and equity holder relationships issues, general contract issues, preservation of confidential information, employment law issues, and product distribution arrangements. She has represented a diverse client base, including e-commerce companies, Internet content providers, software developers, distributors of digital recording and storage systems, government contractors, health care service providers and consulting companies.
Ms. King received her law degree, with honors, from the National Law Center at George Washington University in 1986. Prior to joining Koltun & King, P.C. in 1995, Ms. King was an associate in the Washington, D.C. office of a large national law firm. She is admitted to practice in Virginia and the District of Columbia. |
