Stuart L. Shapiro, Carleton College, B.A., 1966 cum laude; Georgetown University Law Center, J.D., 1969; Law Clerk to Hon. Collins J. Seitz, U.S. Court of Appeals for the Third Circuit, 1969-1970; Skadden, Arps, Slate, Meagher & Flom, 1970-1992; Member of the Bars of Delaware, New York, U.S. Courts of Appeals for the Second, Third and Tenth Circuits and the U.S. District Courts for the Southern and Eastern Districts of New York and the District of Columbia. Mr. Shapiro was lead or co-lead counsel in numerous takeover litigations while at Skadden Arps, including Revlon, Federated Department Stores and the Household poison pill case. At SFA&S he has represented the Special Litigation Committee of the American International Group, Inc. Board of Directors, portfolio companies owned by MetLife and Citicorp Venture Capital, and other clients in litigation in the Delaware Chancery Court, the Delaware Supreme Court, the federal and state courts of New York, and in courts around the country. His practice focuses on disputes involving substantial commercial contractual matters, fiduciary duties of directors and officers of publicly and closely-held corporations, the federal securities laws, and accounting issues. He represents current and former senior executives and/or partners in financial institutions, hedge funds and corporations in connection with contractual and severance matters. He also represents clients in enforcement matters before the Securities and Exchange Commission and other regulatory bodies, serves as a party-appointed arbitrator and is on the panel of neutral mediators for the United States District Court for the Southern District of New York and the Commercial Division of the Supreme Court New York County. Mr. Shapiro counsels boards of directors and senior management on corporate crisis situations and represents Special Committees of Boards of Directors of public corporations. |
