Stewart E. Lavey is a partner in the Corporate and Securities Practice Group and a managing partner of the firm. He is the corporate and securities practice team leader in the Florham Park office. Stu's practice focuses on mergers and acquisitions, corporate securities, joint ventures and general corporate matters. In addition, he counsels corporations and their boards of directors on matters of corporate governance.
Mergers and Acquisitions. Stu has represented both U.S. and multinational purchasers and sellers of a broad range of businesses in financial services and insurance, chemicals, manufacturing, pharmaceuticals, postsecondary education, consumer products and Internet-based products and services in transactions ranging in size from less than $20 million to more than $500 million. He has represented both domestic and multinational companies in the formation of joint ventures and strategic alliances.
Securities Offerings. Stu has represented issuers in public and private offerings of equity, debt and convertible securities and is the regular securities law counsel to several publicly held corporations in New Jersey. He has assisted them with periodic reporting requirements, exchange listings and other compliance matters relating to the public securities markets.
General Corporate Counseling. Stu provides general corporate counseling, primarily to publicly held corporations and their boards of directors, on a broad range of issues, including obligations of directors and corporate governance matters, regulatory issues, corporate development and structuring of transactions and finding solutions for a variety of business law issues. In addition, Stu has represented publicly held clients in the design and implementation of stockholder rights plans and other measures designed to prevent abusive corporate takeovers.
In General. Stu is a member of the Committee on Federal Regulation of Securities of the Section of Business law of the American Bar Association. Stu was a member of the adjunct faculty of Fordham University School of Law for 29 years. He also has been active in various educational and charitable organizations. |
