Steven E. Cohen is a partner in the firm's Corporate, Business and Securities practice group. Mr. Cohen has extensive experience in public and private corporate finance transactions, mergers and acquisitions, bank financings, joint ventures, licensing, tender offers, organization of multinational corporations and numerous other complex business matters. Mr. Cohen also specializes in the organization and representation of private investment partnerships including equity funds and related regulatory compliance issues.
Mr. Cohen serves as outside general counsel and has substantial experience representing foreign and domestic companies engaged in the high technology industries. He also has significant experience in the general representation of public companies and their regulatory compliance with securities laws including preparation and filing of many types of registration statements, periodic reports and other filings with the Securities and Exchange Commission under the Securities Act of 1933, and the Securities Exchange Act of 1934.
Mr. Cohen has structured and negotiated transactions for public and private corporations in a wide range of businesses. He is recognized for his ability to "close the deal" by creatively solving problems and forging consensus, while vigorously protecting his clients' interest.
Mr. Cohen is a graduate of the Georgetown University Law Center in Washington, D.C., and received his B.A. degree (magna cum laude) from Yeshiva University. He is admitted to practice in the States of New York and New Jersey. Mr. Cohen was associate editor of the Journal of Law and Technology. While in law school, he also served as an articles editor of the National Jewish Law Review. Mr. Cohen is fluent in Hebrew. |
