Steve provides business and transactional counsel to publicly and privately held clients. He counsels start-up companies and venture capital firms in private equity financings. He advises on numerous issues, including mergers and acquisitions, capital formation, private placement financing, choice of entity, employment issues and other commercial transactions. In addition, Steve has represented issuers and underwriters in connection with public offerings of equity securities, and has counseled clients in a wide variety of intellectual property matters. Steve is a member of the American, New York, Massachusetts, Ohio and Cleveland Bar Associations. He is also a trustee of the Hudson Montessori School, 2002 to present. Steve has been an associate with the law firms of Stroock & Stroock & Lavan in New York City, and Lucash, Gesmer & Updegrove in Boston, Massachusetts. He was a partner with the firm of Goldstein & Manello P.C. before joining Calfee as a partner in 2000. |
