Experience:
Sterling Dorish is a partner with the Corporate Practice in Mayer Brown’s New York office. He brings to clients 10 years of domestic and cross-border transactional experience, including representing issuers and underwriters in public and private offerings of equity and debt securities. His practice also includes guidance on private offerings (including Rule 144A, Regulation S and Regulation D offerings) for issuers, initial purchasers and placement agents.
Sterling also has represented issuers, dealer managers and solicitation agents in liability management transactions, including tender offers, exchange offers and consent solicitations. His experience in mergers and acquisitions transactions encompasses the representation of buyers and sellers in public and private stock and asset acquisitions, mergers, tender offers and exchange offers.
In addition to transactional work, Sterling also advises domestic and foreign private issuers with respect to ongoing securities, public reporting and corporate governance matters, including both SEC and exchange (NYSE and NASDAQ) reporting and compliance.
Sterling rejoined the firm in 2007 after three years of corporate practice with another major law firm. He had previously practiced with Mayer Brown from 1998 to 2004, working in both the Chicago (1998-2002) and London (2002-2004) offices.
