Stephen E. Wells is a partner in the law firm of McDermott Will & Emery LLP based in the Washington, D.C. office. He is partner-in-charge of the Washington D.C. Tax practice. Steve's practice is focused on the taxation of transactions involving U.S. and foreign corporations, including formation of corporate ventures, reorganizations and other restructurings of corporate enterprises, corporate distributions and liquidations, and corporate acquisitions and dispositions, including spinoffs. Steve advises publicly held multinational corporations as well as privately owned companies.
Steve has been instrumental in structuring and implementing many of the largest corporate mergers, acquisitions, joint ventures and spinoffs undertaken by many of the most prominent public and private multinational corporations. He has also developed and implemented numerous innovative tax strategies for utilization by clients in implementing major corporate transactions, and in pursuing or defending against hostile tender offers.
Steve lectures and writes frequently on current corporate tax issues and strategies for legal and other professional programs. He served for several years as Vice Chairman of the Institute For Research on the Economics of Taxation, a nonprofit organization whose primary goal is to assist the formulation of public economic policies that will contribute to economic growth, efficiency, and competitiveness. Steve is ranked as a leading tax attorney by Chambers USA: America's Leading Lawyers for Business and by Who's Who Legal.
From 1973 to 1978, Steve was employed in various capacities in the Reorganization Branch, Corporation Tax Division, of the Internal Revenue Service national office.
