Stephen B. Selbst is a partner in the law firm of McDermott Will & Emery LLP based in the Firm's New York office. As a member of the Firm's Corporate Department and head of McDermott's New York bankruptcy practice, he practices in two principal areas: corporate and finance and bankruptcy and workouts.
Stephen's bankruptcy practice is broadly based. For more than 20 years, he has represented debtors, secured creditors, bondholders and distressed investors in chapter 11 cases. He has also represented numerous official creditors committee and official equity committees, and he has frequently represented buyers of assets in bankruptcy M&A transactions. Stephen has written and lectured frequently on bankruptcy topics.
In recent matters, he represented the winning bidder in the contested auction for Golden (D. Del.); Korea Asset Management Company in the chapter 11 proceedings of Daewoo International (America), Inc. (S.D.N.Y.); he represented the largest franchisee of Taco Bell restaurants in a successful out of court restructuring of $225 million in mortgage and trade debt, and he represented the bondholders of CII Financial, Inc. in a successful out of court exchange offering. Among his current cases, he represents Honeywell International Inc. in the chapter 11 proceedings of North American Refractories Company (W.D. Pa.); Private Investment Bank Limited in the chapter 11 proceedings of Med Diversified, Inc. and Tender Loving Care, Inc. (E.D.N.Y.); and IntelSat Ltd. in the chapter 11 proceedings of WorldCom (S.D.N.Y.).
Stephen's corporate practice focuses on advising growth companies. He has particular experience in negotiating acquisitions and raising capital in the public and private equity and debt markets, and has represented private equity funds, lenders and issuers in structuring and closing acquisitions, loans, private placements, venture capital investments and public offerings. Stephen has written and lectured on the legal and business issues involved in representing investors, entrepreneurs and growth companies.
