Dr. Stephan Brandes is a partner in the law firm of McDermott Will & Emery Rechtsanwälte Steuerberater LLP based in its Munich office. He is a member of the corporate department, where his practice focuses on mergers & acquisitions and corporate law.
Stephan has advised listed companies and medium-sized enterprises both in Germany and abroad on matters concerning national and international M&A transactions, as well as corporate restructuring. Stephan has been a permanent consultant for a major medium-sized chemicals group on numerous corporate acquisitions and disposals in Germany and worldwide, as well as providing advice on all fundamental corporate legal matters. He has also advised a DAX 30 group regarding a transnational merger, including the simultaneous foundation of a European stock corporation (SE).
Stephan was involved as attorney in numerous high profile corporate and commerical litigation and arbitration proceedings. Thus, he represented a DAX 30 group in litigation against a consortium of D&O insurers with a triple digit million amount in dispute and an executive director of a large midcap group against a D&O liability claim.
Within corporate law, Stephans main focuses are stock corporation law and corporate restructuring. In particular, Stephan has specific experience with European corporate law (cross border mergers, European stock corporation). He is also well-versed in M&A transactions, capital markets, insolvency and insurance matters.
Stephan studied at the universities of Freiburg, Geneva and Munich and received his doctor degree from the university of Heidelberg. Prior to joining McDermott, Stephan worked for Shearman & Sterling.
Stephan is a member of the Corporate Law Association (VGR), of the German Arbitration Institution (DIS) and of the Franco German Lawyers Association. Stephan is a lecturer at the university of Heidelberg. He speaks fluently English and French.
