Description of Practice:
D. Stanley Rowland is a partner in the firm's San Francisco office and advises clients on corporate, securities and finance matters. Stan has extensive experience in mergers and acquisitions, venture capital financing, public and private securities transactions, secured and unsecured loan transactions, international and domestic joint ventures, the formation, organization and capitalization of new businesses, and licensing and distribution contracts. His clients include financial services, investment banking, venture capital, software development, manufacturing, consumer products, healthcare and hotel companies, and range from early stage start-ups to international conglomerates.
Recent transactions include representation of a venture capital fund in the formation of the fund and investment activities; representation of a telecommunications company with bridge financing, private placement and acquisition transactions; assisting several start-up companies with early round financings; representation of investment banking firms in the provision of M&A advisory services and fairness opinions; and the representation of an international company in the sale of manufacturing facilities. Stan also has significant experience with international transactions, having lived and worked in Asia for over eight years. He served as the managing partner of the Hong Kong offices of Pillsbury Winthrop from 1994 to 1997 and Thelen Reid & Priest from 1988 to 1994.
Educational History:
Mr. Rowland graduated cum laude from the University of California at Berkeley with a bachelor's degree in economics. He received his J.D., cum laude, from Cornell Law School in 1981. |
