Stacie Phillips is an associate in the law firm of McDermott Will & Emery LLP based in the Firm’s Chicago office. She is a member of the Firm’s Health Law Department. Stacie’s practice involves many aspects of health law including fraud and abuse, acquisitions and divestitures, corporate compliance, corporate governance, corporate structuring, tax exemption, contract drafting, HIPAA, state licensure, certificate of need, and Medicare and Medicaid certification and reimbursement.
Stacie analyzes transactions for compliance with tax-exemption and federal and state fraud and abuse laws. She also reviews health care agreements in the context of due diligence for acquisitions and divestitures as well as corporate compliance and charity care initiatives.
Stacie evaluates certain board activities to determine compliance with not-for-profit corporate governance law.
Stacie has experience structuring and forming various for-profit and not-for-profit business entities, including limited liability companies, corporations, medical corporations and professional corporations. She also has reorganized a corporation to establish a not-for-profit, tax-exempt parent entity.
Stacie drafts various legal documents, including health care agreements, medical staff and corporate bylaws, medical staff rules and regulations and various policies, including medical staff, HIPAA and medical document retention and destruction. She also prepares miscellaneous Medicare filings for various health care facilities.
Stacie has experience drafting applications and negotiating with governmental agencies for state licensure, permits, and registrations; accreditation certifications; and Medicare and Medicaid certifications for various provider and supplier types.
Stacie has researched and prepared presentations for hospitals regarding certificate of need and certificate of exemption procedures in the state of Illinois. She also has drafted opinion letters to health care facilities outlining strategies and risks involved in particular certificate of need or certificate of exemption circumstances, and drafted requests for declaratory rulings on behalf of health care facilities to the Illinois Health Facilities Planning Board.
While in law school, Stacie interned for the general counsel of a prestigious children’s hospital, researching and preparing memoranda regarding various operational issues. She also clerked during the summer before her second year of law school with the Honorable Richard D. Cudahy at the United States Court of Appeals for the Seventh Circuit. She has twelve years of sales and corporate experience prior to law school, the last seven of which, Stacie managed the operations of large and mid-sized corporations.
Stacie is a committee member of the Chicago Bar Association Health Law Committee and the IAHA Membership Committee. She is a member of the American Health Lawyers Association, the Illinois Association of Healthcare Attorneys, and the Chicago Bar Association.
Stacie is admitted to practice in Illinois and the U.S. District Court for the Northern District of Illinois.
