Biography
Sean A. Bryan came to Kelly Hart & Hallman LLP in 1990 following his graduation from the University of Virginia School of Law. Prior to law school, Mr. Bryan attended Abilene Christian University, where he obtained his B.B.A. in Accounting, summa cum laude, in 1987.
Although he is currently a member of the Tax and Real Estate practice group, Mr. Bryan’s primary practice involves the formation, structuring and maintenance of entities used in business transactions (including partnerships and limited liability companies, as well as corporations), and the tax aspects of business transactions. Among the types of transactions for which Mr. Bryan has formed entities are those involving shopping center development, security investment partnerships, service companies, real estate holdings, family limited partnerships, and restructuring existing entities for purposes of securitized borrowing. In determining the correct type of entity for a particular client’s purposes, Mr. Bryan considers the type of transaction, the impact of state and federal tax and securities laws, and the economic and management arrangement of the participants. Mr. Bryan has been involved in numerous mergers, divisions, and conversions of entities among structures and among states. He has also been involved in loan and other financing transactions.
Mr. Bryan’s representative clients include the Bass Family interests, Realty Capital, and Trademark Property Company. He represents both sponsors of entities in forming entities and passive investors seeking limited liability. Furthermore, he has represented clients from sole proprietors to large companies in business transactions.
Outside his professional practice, Mr. Bryan maintains continuing involvement in community activities, including his membership in Leadership Fort Worth, in which he helped develop an electronic board bank to identify board membership on local charitable organizations. He also is on the Board of Directors of the Fort Worth Chapter of the Juvenile Diabetes Research Foundation, in which he has been active since 2002.
Sean and his wife, Karen, have three daughters. When time permits, he is a reader of histories and science fiction. His favorite film is "In Harm’s Way."
