Scott is a commercial litigator and general corporate counsel, whose practice focuses on antitrust, US export controls and international trade. He has served as outside general counsel to a variety of private, public and non-profit companies, including an international trade association with members in more than 90 countries. His corporate counsel practice includes the drafting and negotiation of all types of contracts, from leases to licensing agreements.
Scott’s antitrust experience includes advising companies and associations on compliance with federal antitrust guidelines and regulations, including document creation and retention policies, obtaining antitrust clearance for mergers and acquisitions, preparing Hart-Scott-Rodino filings, and responding to civil investigative demands.
In the areas of US export controls, Scott has advised clients (energy companies and multinational corporations) on compliance with: US sanctions involving Burma, Cuba, Iran, Libya, North Korea, Sudan and Syria; the anti-boycott laws; the USA Patriot Act; and the Foreign Corrupt Practices Act. He has represented client interests before the Office of Foreign Assets Control, including special license requests.
Scott’s international trade experience includes classification of goods, services and technology under Export Administration Regulations (EAR) and the Harmonized Tariff Schedule (HTS), and compliance with export and reexport rules of the EAR.

Representing a major interstate pipeline company, national airline and international biomedical company in civil investigative demands by the Department of Justice and the Federal Trade Commission
Counseling energy companies on acquisition and joint venture transactions involving interstate pipelines, propane distributorships, mineral deposit rights, off-shore oil rigs and power-generating facilities
Advising international and domestic energy companies on merger and acquisition due diligence reviews regarding export controls, sanctions compliance for offshore investments, joint ventures, and supply contracts involving petrochemical projects in Iran, Iraq, Libya, Sudan and Syria
Litigating in federal courts and arbitrating before AAA and ICC arbitral panels on a wide range of antitrust and commercial interests, including: FCC license disputes; fraudulent transfers; patent licensing, infringement and misuse actions; and wrongful terminations of long-term supply contracts and acquisition agreements
