Samuel Mason has practiced business law since 1978. He joined Drinker Biddle as a partner in 1998, and previously served as chairman of the business department of another large Philadelphia firm.
Mergers and Acquisitions. Sam has represented both purchasers and sellers in a wide variety of acquisitions and divestitures. These transactions have involved general and limited partnership structures, corporate joint ventures, tailored management rights, buyout formulas, deferred purchase price (secured and unsecured) and leveraged buyouts.

Sale of multinational manufacturer of chemical products for flat panel displays and semiconductor industry, acting with UK counsel.
$50 million sale of scientific publisher.
$17 million acquisition of refrigerated food storage facility.
International Matters. Sam has represented foreign companies in acquisitions and joint ventures in the United States and in matters relating to the acquisition of foreign companies. He has also represented U.S. companies in international business transactions, such as acquisitions, joint ventures, distribution arrangements, licensing matters and technology transfers.

Several transactions ranging from $100 million to $300 million involving the financing of contracts for the production by South American companies of products being sold through offshore subsidiaries to companies in the European Union.
Financings by Spanish bank of Mexican resorts.
Establishment of Swedish company in the United States, and reorganization of Swedish and Delaware corporations.
Engineering and design contracts relating to facilities in Taiwan and China.
Sale of Chinese pharmaceutical manufacturer.
Intellectual Property. Sam has experience in software and technology licensing, agreements for the development of e-commerce solutions, and similar matters.

Outsourcing of the IT function of a public company.
Software licensing agreements for major public auto parts supplier.
Joint Development and License Agreement between U.S. subsidiary of German company and major multinational corporation.
Credit Transactions. Another of Sam's concentrations includes the documentation of commercial loan transactions. His experience covers the full range of commercial lending, from simple term loans to agented, multibank credit facilities. He has experience in security agreements, subordination agreements and fraudulent transfer issues.

$325 million multicurrency credit facility for a public multinational corporation.
General Business Representation. Sam has counseled manufacturing and other businesses, large and small, in the day-to-day legal problems that face such enterprises in a wide range of commercial matters.
Commercial Agreements. Sam represents companies in distribution agreements, sales agreements and UCC Article II terms and conditions.
Nonprofit Organizations. Sam has counseled nonprofit organizations on issues concerning their operations, governance, and business transactions.

Merger of two nonprofit hospitals.
Incorporation and 501(c)(3) approval of school, previously an unincorporated association.
In General. Sam is a native of Philadelphia, and has served on the boards of Kendal Corporation, Germantown Friends School, Fiduciary Corporation and Delaware Valley Friends School and on the finance committee of the American Friends Service Committee. Sam is married with one child, and his nonlegal interests include medieval history, distance bicycling, hiking, golf and tennis. |
