Biography
Robin B. Connor joined Kelly Hart & Hallman LLP in 1997 and is a partner in its Corporate and Securities practice group. She earned a bachelor of arts degree from Vanderbilt University in 1994 and her juris doctor from the University of Oklahoma College of Law, with honors, in 1997.
Ms. Connor has experience representing buyers, sellers, investors, shareholder groups, boards of directors, and financial advisors in structuring, negotiating, and consummating various business combinations. She has advised clients in negotiated transactions, including mergers and asset and stock purchases and sales, as well as contested transactions, such as proxy contests, tender offers, and other transactions involving changes in corporate control. Ms. Connor also has advised issuers, underwriters, and selling security holders in both public and private debt and equity offerings, including initial public offerings, secondary offerings, and private placements.
She has represented corporations and other end-users in transactions involving highly-tailored, over-the-counter derivative financial products and, in connection with such matters, has documented a full range of transaction types, including plain vanilla swap transactions, OTC derivatives, equity index swaps, put and call options, commodity derivatives and equity derivatives.
Ms. Connor has advised individual directors, full boards of directors, board committees, executive officers, and investors on a broad range of corporate governance matters, such as board composition and structure, director fiduciary duties and responsibilities, and investor relations (including solicitation of shareholder approvals and making and responding to shareholder proposals), board oversight of strategic transactions, governance-related disclosure requirements and compliance programs.
Outside the office, Ms. Connor is enjoying the rewards and challenges of parenting her daughter, Brailey.
