Robert Toner. Mr. Toner has entered into an agreement to serve as Innotrac’s Vice President Logistics until January 1, 2005, or in such other executive capacity as the Board may from time to time determine. Mr. Toner is entitled to a salary of no less than $250,000 per year and is eligible for annual increases and a performance-based bonus. The other provisions of Mr. Toner’s employment agreement are similar to those described above with respect to Mr. Dorfman’s employment agreement. Innotrac is currently in the process of negotiating the terms of Mr. Toner’s employment agreement.
