Dr. Robert Manger is a partner in the law firm of McDermott Will & Emery Rechtsanwälte Steuerberater LLP, based in its Düsseldorf office. He is a member of the Corporate group, where his practice focuses on corporate law including corporate restructuring, capital markets and mergers and acquisitions including public takeovers.
Robert has advised majority shareholders of both public and private companies on so-called Squeeze-Outs of minority shareholders. He regularly acted for various German and international clients in acquisitions of businesses and companies and restructuring of their German activities. Robert also acted for Austrian investors in a public takeover bid for a listed German manufacturer of transmission engines and advised on the subsequent Squeeze-Out and delisting. Furthermore he rendered advice to Wella AG in connection with the public takeover bid by Procter & Gamble. Robert advised Austrian listed ATB Austria AG on the acquisition of an English private limited company. Most recently he advised AIXTRON AG in the cross-border stock-for-stock acquisition of all shares in the listed Genus Inc., California, USA.
Robert has extensive experience in capital markets advising on IPO’s, secondary offerings and the preparation of general meetings of listed stock corporations. He also advises German and foreign companies on commercial law e.g. on distribution and co-operation agreements. Robert has published articles on corporate law and regularly comments on new court rulings in a law journal.
Robert attended the University of Düsseldorf Law School. He earned his doctorate of law from the University of Hanover Law School.
Robert is admitted to the German bar. He is fluent in German and English.
