Biography
Robert W. Lydick graduated from the University of Texas with a Bachelor of Arts in International Business in 1991. After obtaining his Juris Doctor from Pepperdine University School of Law in 1995, Mr. Lydick practiced as a staff attorney for the Division of Enforcement of the United States Securities and Exchange Commission. He joined Kelly Hart & Hallman in 1997 and is a partner in the firm’s Corporate and Securities practice group.
With regard to mergers and acquisitions, Mr. Lydick has acted as lead counsel for clients on more than 100 successfully completed acquisitions. His responsibilities included advising on the structure of transactions; conducting and supervising due diligence investigations; and drafting and negotiating confidentiality agreements, letters of intent, and purchase and sale agreements.
Mr. Lydick also represents public and private companies in a variety of general business and securities matters, including advising as to the choice of entity; preparation of formation documents for corporations, limited partnerships, and limited liability companies; general contract drafting and negotiation; preparation of periodic and annual reports; preparation of proxy statements; preparation of employment and employee benefit plan agreements; Section 16 beneficial ownership reporting; and Sarbanes-Oxley Act compliance. Mr. Lydick’s practice also has significant experience representing investment funds, including negotiating and drafting offering memoranda and subscription documents for various hedge funds, venture capital funds and real estate investment partnerships.
Mr. Lydick complements his professional career with an active involvement in civic and charitable organizations, including the Boys and Girls Clubs of Greater Fort Worth, the Fort Worth Stock Show Syndicate, the All Church Home for Children and Leadership Fort Worth. He received the Fort Worth Business Press "Forty Under 40" Award in 2005 in recognition of his commitment to excellence in both professional and charitable activities and was named a "Top Attorney" in the area of Corporate Finance/Mergers and Acquisitions by Fort Worth, Texas magazine.
Rob enjoys spending time with his wife, Holly, and their two children, Robert and Lottie.

Significant Matters
Acted as lead counsel for a major client on more than 120 acquisitions over a six-year period. The client came to the firm as a small start-up business, obtained significant debt and equity financing and, through acquisitions, grew into one of the top ten largest companies in its multi-billion dollar industry prior to merging with another company
Assisted Nasdaq and NYSE listed companies in revising corporate governance policies and procedures and updating disclosure documents to comply with Sarbanes-Oxley Act of 2002 and related Nasdaq, NYSE and SEC rules and regulations
Represented distressed company in restructuring its Senior Credit Facility with syndication of lenders and in negotiating the simultaneous sale of the company
