Robert W. Downes joined Sullivan & Cromwell in 1991 and became a partner of the Firm in January 2000. Mr. Downes is a member of our Corporate and Finance Group and is the New York Co-Coordinator of our High Yield Financing Group. Mr. Downes has extensive experience in public and private offerings of equity and debt securities, including securities issued in structured finance transactions, and mergers, acquisitions and joint ventures for United States and foreign issuers. He also has been actively involved in advising domestic issuers on corporate governance matters. Prior to returning to law school in 1987, Mr. Downes worked as a certified public accountant in the Washington, D.C. office of Coopers & Lybrand. Selected Transactions Mr. Downes has recently represented: Cablevision Systems Corporation and its Rainbow Media programming businesses, including, in 2007, in the proposed going private transaction and the sale of certain sports programming interests to Comcast; Citigroup Inc. in its capital raising transactions in late 2006 and early 2007; CONMED Corporation (a medical device manufacturer); ESCO Corporation (a global manufacturer of engineered metal wear parts and components for industrial applications); General Growth Properties, Inc. (a REIT that owns shopping malls and master planned communities); Goldman, Sachs & Co. as underwriter in various financings, including convertible debt and related offerings by Asbury Automotive, National City Corporation and USEC Inc.; HOVENSA L.L.C. (a refinery venture owned by Hess Corporation and PDVSA); Lehman Brothers Inc., including as administrative agent for the lenders to FairPoint Communications; Morgans Hotel Group Co., including in its initial public offering; NorthStar Realty Finance Corporation (a real estate finance company); Ontario Teachers Pension Plan Board in its acquisition of certain port terminal assets in North America in early 2007; Popular Inc. (a diversified bank holding company); and R.R. Donnelley & Sons Company (a provider of printing and related services). Mr. Downes also represents the underwriters for Lazard Group, Newmont Mining Corporation, PPL Corporation and Regency Centers Corporation in connection with financings.
