Corporate Law
Rob Goldstein counsels businesses and business owners with practical solutions to general business issues based on more than 20 years legal experience. Mr. Goldstein regularly advises clients on corporate and transactional matters, touching on all aspects of business ownership, including formation, capital accumulation, acquisition and disposition. At start up, Mr. Goldstein provides guidance on choice of entity, corporate formalities, agreements between the owners and basic contract drafting. Mr. Goldstein assists more established clients with operational issues, including protection of intellectual property, vendor and supplier relationships, outsourcing, distribution, employment, compensation and separation, corporate governance, banking relationships and financing issues, leasing or purchase of real property, marketing, contract interpretation, dispute analysis and exit planning. His general business experience also encompasses extraordinary transactions such as private sales of securities, purchases and sales of both assets and equity, including due diligence disclosure issues, and corporate restructuring and reorganization.
Mr. Goldstein operates in diverse industries including outsourcing, employee benefits, insurance, medical practices and related research and service businesses, national marketing organizations, real estate brokerages, real estate developers, software developers and food manufacturers. Mr. Goldstein frequently acts as an outside general counsel, and always as a trusted business advisor providing creative and cost-effective advice using client established parameters.
A substantial portion of Mr. Goldstein’s efforts are devoted to representing manufacturers of organic and natural food products in all phases of business operation, from start-ups to established brands in local and national distribution to companies seeking an exit. Mr. Goldstein counsels these clients on general business matters, food manufacturing matters and matters specific to manufacturing organic and natural foods, including the applicability of the Organic Food Production Act of 1990 and the National Organic Program regulations, ingredient, labeling, adulteration and misbranding issues, Current Good Manufacturing Practices issues, and trademark, patent and trade dress issues. Mr. Goldstein also drafts and reviews agreements with co-packers, distributors, ingredient suppliers, manufacturers, processors, packagers, trademark licensors and licensees, marketers and other creative consultants and investors.
