Represented and advised landlords and tenants in the negotiation and preparation of leases, subleases, and ground leases for office, industrial and retail properties, as well as in the review and drafting of related documents such as letters of intent, work letters, amendments, estoppel certificates and subordination, nondisturbance and adornment agreements. Advised and represented commercial landlords and tenants in various legal matters related to commercial leasing.
Represented buyers and sellers in the planning, negotiation and drafting of documentation for the purchase and sale of real estate, including industrial park properties, shopping centers, office buildings and agricultural properties, and in the preparation of related documents including options, deeds, easements, REA's and CC&R's.
Represented landowners in the negotiation and drafting of agricultural leases and management agreements.
Represented lenders and borrowers in the negotiation and documentation of real estate secured financing transactions, including the review and preparation of loan agreements, promissory notes, deeds of trust, security agreements, letters of credit, personal guaranties, financing statements, environmental indemnities and related documents and legal opinions.
Assisted in the representation of Verizon Wireless in various real estate transactions (retail, office and network cellular sites) in California including the review of title reports and underlying exception documents and the preparation of additional documentation necessary to ensure clear title to sites such as subordination agreements, nondisturbance agreements, quitclaim deeds and easements.
Represented owners and contractors in the review and preparation of construction contracts and subcontracts, and architects in the review and preparation of design contracts.
Advised and assisted in the formation, dissolution and restructuring of corporations, partnerships and limited liability companies.
Negotiated and documented the sale of businesses.
Advised and assisted in the negotiation and preparation of proposal for major State of California RFP.
