Description of Practice:
Robert M. Hamilton is a partner in the Orange County office where he focuses his practice on business and tax planning. Mr. Hamilton has a broad-based commercial transactional practice including the formation, financing, merger and reorganization of joint ventures, partnerships, and limited liability companies, public and private syndicated offerings, real property taxation and general business tax planning. Mr. Hamilton has been involved in the formation and reorganization of a wide variety of commercial, residential, industrial, retail and other types of partnerships and joint ventures. His experience includes mergers, restructures and workouts of multiple partnerships and other entities. He was also involved in the reorganization of a major southern California amphitheater. Recently, Mr. Hamilton has been involved in the formation and merger of limited liability companies. He expects to continue to expand his experience in this area. Over the past several years, many law firms have been involved in transactions in Mexico. Mr. Hamilton has formed partnerships for commercial and hotel projects in Mexico, and has been involved in the preparation and negotiation of participating development agreements for residential projects. Public and private syndications are also an area in which Mr. Hamilton has developed an expertise. He has been involved in numerous public and private syndicated offerings for real estate and a variety of other types of businesses, including restaurants, amphitheaters and partnerships formed for the marketing and licensing of various intangibles rights. Mr. Hamilton also has given tax advice concerning complex real property issues. He was recently successful in obtaining a ruling from the Franchise Tax Board regarding change in ownership issues. His tax planning expertise includes the structuring of transactions to minimize the impact of discharge of indebtedness income to existing entities in connection with the workout and/or write down of real estate loans in the partnership context. He has also been involved in tax planning for tax deferred exchanges and involuntary conversions.
Educational History:
Mr. Hamilton graduated from the University of Southern California with a B.S. in accounting and earned his J.D. degree from Loyola Law School in Los Angeles, California. He received a Masters of Law in Taxation from New York University School of Law In June 1985. Prior to his association with Allen Matkins, he served as an Attorney-Advisor to Judge Jules Korner, III of the United States Tax Court in Washington D.C. |
