Robert J. Wilczek is a member of the Corporate and Securities Practice Group. In the course of his business and commercial practice he has planned, structured and negotiated in excess of 200 domestic and international mergers, acquisitions, dispositions, strategic alliances and joint ventures in the consumer, industrial, food, medical products, automotive and insurance industries.
Bob advises public companies and independent directors of public and private companies in connection with sensitive corporate transactions, derivative actions, change of control and related party transactions, and SEC disclosure issues. He has represented audit committees and special committees of public companies in corporate internal investigations, and has organized and served on complex litigation management committees.
He has served as principal outside counsel in the United States to a number of foreign-based public and private companies and has served on their U.S. boards of directors, advising on a variety of issues that uniquely affect non-U.S companies operating in the United States, including structuring of investments and business operations in order to provide home country asset protection while operating in the U.S. environment.
Bob has served in many leadership positions in the firm, including service as the firm's chairman. He is the recipient of the firm's highest award for civic service, The James H. Douglas, Jr. Award, in recognition of his "service to the community and the nation through government service and participation in community, education, artistic and charitable activities."
Bob served as a Captain in the U.S. Army, and was a combat intelligence and infantry advisor to local and regional infantry forces in the Republic of Vietnam. His military awards include two Bronze Stars. |
