Rick Mitchell is a partner in the law firm of McDermott Will & Emery UK LLP, based in its London office, where he heads our U.S. Securities Group. Rick collaborates closely with our English, German and Italian Corporate, Finance and Restructuring Groups on European capital markets, restructuring and M&A matters.
Rick’s experience in the high yield market dates to 1987. He has been involved in dozens of high yield new issues, exchange offers, consent solicitations, restructurings and other transactions in the U.S., throughout Europe and around the world, representing issuers, investment banks and other financial institutions, as well as advising investors and issuers with respect to trading, covenant compliance and disclosure.
Recently, Rick has been particularly active in restructuring situations in Europe.
Rick’s capital markets experience is similarly deep and longstanding. He has been involved in numerous public and private offerings, placings and flotations in Europe, the U.S., and elsewhere. In particular, Rick has recently been advising on numerous AIM transactions involving non-UK companies.
Rick has also advised widely on public and private cross-border mergers and acquisitions in Europe and elsewhere, both in negotiated and unsolicited transactions. Rick’s clients include hedge funds and other investors and arbitrageurs in M&A situations, as well as U.S. and non-U.S. corporates and financial intermediaries.

Advising Panmure Gordon and Calyon Securities in connection with the IPO of MAXjet Airways, Inc.
Advising the sole shareholder with respect to the financial and operational restructuring of Schefenacker Group
Advising the board of directors of the noteholder bid vehicle in connection with the financial restructuring of Damovo Group
Advising Georgica plc in connection with its proposed demerger and reorganisation
Advising Heckler & Koch Beteiligungs GmbH on its offering of €100,000,000 of PIK Notes due 2013
