Dick has nearly 30 years of experience in the practice of corporate, securities, and commercial law. His goal is devising practical solutions to achieve his clients’ objectives. He practices law is in three main areas: Mergers and acquisitions, in which he represents both buyers and sellers of businesses and in particular, private equity investors General legal representation for public and private businesses, particularly those in the manufacturing, software, education, and professional-services industries Representing senior and subordinated lenders and borrowers, particularly subordinated lenders providing acquisition financing Dick’s recent M&A work includes representing: A business-document processor in a leveraged recapitalization of its business and sale of majority interest to a private equity firm A global NYSE coatings company in the purchase of a competitor’s U.S. and U.K. powder-coatings business An educational-software and -book company in the sale of its business A major distributor and operator of vending equipment in the sale of its business A privately held medical-device manufacturer in the sale of its business to a private equity firm A private equity firm in the sale of a portfolio company to a Japanese buyer An instrument manufacturer in its purchase of a Canadian instrument company A global NYSE coatings company in its purchase of a consumer paint company Dick has been recognized in Super Lawyers (published annually by Minnesota Law & Politics) four times since 2002. He has been an adjunct faculty member of the University of St. Thomas College of Business, teaching a seminar on business acquisitions. Before joining Lindquist & Vennum, he clerked for Justice C. Donald Peterson at the Minnesota Supreme Court. |
