Richard B. Chalker has agreed to join the company’s board of directors immediately after the registration statement of which this prospectus forms a part is declared effective. Mr. Chalker currently serves as a director of PBI/Gordon Corporation, an employee-owned manufacturer of pesticides and professional turf and agricultural products. Mr. Chalker also serves as a director of Decorize, Inc., a manufacturer of home furnishings and accessories. Decorize, Inc. is listed on the American Stock Exchange. Mr. Chalker retired in 2004 as Division Vice President, Tax and Customs, of Hallmark Cards after nine years of service. Mr. Chalker also spent 32 years at Ernst & Young LLP, including 19 years as a partner specializing in taxation. He holds a degree in Industrial Administration from Yale University and a law degree from DePaul University. |
