Peter R. Herman is a counsel in the firm's Corporate, Business and Securities practice group. Mr. Herman advises clients on a broad array of corporate transactions, including securities offerings, mergers and acquisitions, and joint ventures.
Mr. Herman has represented both public companies and underwriters in public offerings of debt and equity securities, including large initial public offerings and private placements. Mr. Herman also has extensive experience advising insurance and reinsurance companies, which experience includes having worked on some of the largest insurance company demutualization’s and related IPO’s. In the mergers and acquisitions arena, Mr. Herman has represented both buyers and sellers in public and private transactions. Such transactions have included mergers, stock purchases, asset purchases and bulk reinsurance arrangements.
Mr. Herman also has experience with the formation, organization, and governance of corporations, partnerships, and limited liability companies. Mr. Herman has also provided general representation to public companies with respect to regulatory compliance under securities laws.
Mr. Herman is a graduate of Cornell University (B.S. degree in Industrial and Labor Relations, 1989) and University of Michigan Law School (J.D., 1992) where he was a contributing editor of the University of Michigan Law Review and graduated with honors. |
