Mr. Aguggia provides strategic advice and counsel to public and private companies in the areas of general corporate and securities law and mergers and acquisitions. He has particular expertise in the representation of financial institutions.
Mr. Aguggia's practice focuses on public and private capital raising transactions, corporate reorganizations and restructurings, mergers and acquisitions, counsel relating to the preparation of federal securities reports, federal and state securities compliance matters and general corporate law. He also has extensive experience with proxy contests and shareholder relations matters. Mr. Aguggia frequently advises boards of directors and committees of boards of directors on corporate governance matters, including compliance with the provisions of Sarbanes-Oxley.
Mr. Aguggia has also focused on the representation of mutual financial institutions with respect to mutual-to-stock conversions, mutual holding company reorganizations and depositor/member issues. Mr. Aguggia serves as the firm's Chairman.
