Mr. Tauber brings his corporate, technology and venture capital clients wide ranging transactional experience in the areas of venture financing, technology licensing, joint ventures and strategic alliances and mergers and acquisitions. Mr. Tauber represents businesses of all sizes from start-ups to multinationals, including foreign and domestic businesses, tax-exempt organizations, entrepreneurs, executives and directors in a wide range of business initiatives. His practice includes extensive experience representing foreign businesses and individuals that wish to establish, expand, invest in, or partner with businesses in the United States. Venture Capital and Corporate Finance Mr. Tauber has extensive experience in venture capital transactions, primarily in the biotechnology, medical device, telecommunications and semiconductor industries. His practice includes negotiating and drafting transactional documentation, performing due diligence, and advising on compliance with securities laws. He represents both venture capital firms in investment transactions as well as entities securing venture financing. In addition, Mr. Tauber advises in a range of other financing transactions including secured and unsecured debt and other credit facilities. Technology and Intellectual Property Mr. Tauber counsels clients with respect to a broad range of intellectual property transactions including development, licensing, acquisition and sale of intellectual property and technology; joint ventures and strategic alliances; material transfer agreements; branding arrangements; application service provider and software license agreements; and distribution, commercialization and support agreements. These transactions generally involve the life sciences, medical devices, semiconductors, software, diagnostics, digital technologies, telecommunications equipment, food and beverage, and entertainment industries. General Business and Corporate Representation Mr. Tauber's transaction practice includes regularly representing clients in merger and acquisition transactions, purchases and sales of assets and joint ventures and strategic alliances, including cross-border joint ventures. His expertise also includes general contractual matters including negotiating and drafting supply, reseller and professional services agreements. Professional Activities - Mr. Tauber is a member of the American Bar Association, California Bar Association and the Bar Association of San Francisco. He also is admitted to the bar of the United States Supreme Court and the United States Court of International Trade. Mr. Tauber serves on the board of directors of Force of Nature Foundation, a foundation dedicated to supporting long-term relief from natural disasters, particularly the December 2004 Indian Ocean tsunami. He also serves on the advisory board of several start-up companies. |
