Paul Sweeney advises public and private companies on a wide range of transactions, including business combinations, arrangements to exploit intellectual property aspects, and public and private financing transactions. Although he represents clients in all stages of development, Paul has a particular focus on high technology and early stage companies.
Paul's corporate finance work includes representing investors and companies in a wide array of venture capital investments and private placements. He also assists with corporate restructurings, corporate credit facilities and other financing structures. Working with companies, underwriters and purchasers on public and private equity offerings, he regularly prepares Registration Statements on Forms S-1, S-3, S-4 and F-4.
With this transactional background, Paul also effectively advises public and private companies on equity compensation programs, other employment matters and related reporting and filing obligations, as well as general corporate concerns.
Technology companies and other corporate clients rely on Paul's guidance to negotiate and draft intellectual property agreements, including software and new media licenses, technology development agreements and international distribution agreements. He also advises purchasers and sellers in mergers and acquisitions, including the negotiation and drafting of stock, asset and partnership interest purchase agreements. His public company merger experience includes numerous cross-border transactions.
