Patrick J. Russell participated in several joint degree programs whereby he received, in 1971, a B.A. degree, with honors, from Claremont-McKenna College, a B.S. degree (industrial engineering) and an M.S. degree (industrial engineering) from Stanford University. He then went on to receive a Juris Doctorate degree and a Masters of Business Administration degree from the University of Denver in 1971. In 1983, Mr. Russell received a Masters in Taxation from the University of Denver. Mr. Russell has been a transactional and business attorney in Denver, Colorado since 1974 with emphasis on federal and state securities law, taxation, corporate law, general business matters and commercial litigation.
His securities law experience includes public and private offerings, acquisitions, mergers, venture capital financing transactions, SEC reporting requirements applicable to public companies and their affiliates, SEC enforcement actions and securities transfer matters. Mr. Russell has substantial experience with respect to corporations, limited liability companies, partnerships and limited partnerships including choice of entity and preparation of formation documents; taxation issues; conduct of shareholder and director meetings; contract negotiation and preparation, secured and unsecured loan transactions, employee stock option and incentive plans; and shareholder agreements. In addition, Mr. Russell’s practice includes commercial litigation matters, being admitted to practice in Colorado, the United States District Court, District of Colorado, and the United States Court of Appeals for the Tenth Circuit. In the mid-1980s, Mr. Russell was a part-time Instructor of Law at the College of Law, University of Denver. |
