Neal G. Rosenberg, CPA, is a Partner at Goldstein Golub Kessler LLP. His clients include manufacturers and distributors, and his services encompass attest services, banking relationships, corporate and personal financial advice and tax planning. He also advises businesses on inventory management, the effective employment of capital and long-range planning. His clientele includes a number of companies whose shares are registered with the Securities and Exchange Commission ("SEC"). He advises them as to the compliance filing requirements of the SEC and in planning offerings of common stock and debt. Mr. Rosenberg's corporate finance experience also includes advising investment groups that acquire various companies. He works with these groups to provide tax and financial structuring for the acquisition. Moreover, he leads due diligence teams in reviewing financial information received by the buyer and assists in obtaining sources of credit to finance the transaction, as well as in negotiating and structuring the transaction documents. Also, Mr. Rosenberg works closely with start-up and young companies in formulating their business plans, obtaining financing and planning tax efficiencies. With an expertise in royalties and licensing, Mr. Rosenberg also works with fashion designers and other licensing companies in structuring licensing arrangements. His review of license financial information has provided many of his clients with additional royalties when underpaid by their licensees. He is a member of the New York State Society of Certified Public Accountants and of the American Institute of Certified Public Accountants. He is also a member of GGK's Accounting and Auditing Standards Committee. Mr. Rosenberg has a B.S. in accounting from the State University of New York in Albany. |
