Muriel practices in the Corporate/Securities section, representing and advising publicly and privately held companies in a variety of business and commercial matters, including corporate formations, mergers and acquisitions, equity, debt, and other public and private securities offerings. She advises clients on day-to-day issues related to general securities and corporate governance issues, SEC reporting requirements and other shareholder matters. Muriel represents companies in connection with initial public offerings, follow-on and secondary offerings, 144A private placements, senior and subordinated debt financings, and tender offers. She has extensive experience negotiating and drafting prospectuses, offering memorandums, proxies, purchase agreements, partnership agreements, confidentiality agreements and corporate charter documents.
