Michael McCann's areas of practice include general corporate law, mergers and acquisitions, private securities offerings, and corporate finance. He serves domestic and foreign clients ranging from small privately held enterprises and growing family businesses to large, established firms in a variety of industries. Michael has significant experience relating to mergers and acquisitions, corporate bylaws and operating agreements, contractors and subcontractors, landlords and tenants, notes and mortgages, warranties and sales contracts, ERISA health and welfare benefit plans, workers compensation and business insurance contracts and related service provider agreements. Additionally, he has experience with contractor/subcontractor contracts relating to potential liability of multiple parties in construction litigation and defense obligations arising from contract terms, as well as contracts pertaining to transfer of several ERISA plan trust funds, including provisions for payment of ongoing liabilities. Michael has also represented clients in commercial litigation, including residential real estate acquisition/sale disputes involving multiple notes and senior and junior mortgages, subordination agreements, purchase agreements, validity of loans guaranteed by HUD, and compliance with low income housing tax credit program guidelines. Prior to joining the firm, Michael was an associate at Wildman, Harrold, Allen & Dixon LLP in Chicago. |
