Michael Escue Biography :

Michael Escue is a partner in the Firm s Financial Institutions Group. His practice focuses primarily in the areas of banking regulation and supervision. He advises numerous U.S. and non-U.S. banks and other financial institutions regarding U.S. banking laws and regulations, including those related to investments, activities and mergers and acquisitions; initial entry into the U.S. by non-U.S. banks; affiliate transactions; enforcement matters; and Federal Reserve regulatory reporting. Recent Regulatory Representations Related to M&A and Other Strategic Transactions Mr. Escue has provided bank regulatory advice and counsel to a number of institutions in connection with their mergers and acquisition activities and expansion plans. Some examples are listed below: Merrill Lynch in connection with the merger of Merrill Lynch Bank & Trust Co., FSB and First Republic Bank (including applications to the Office of Thrift Supervision). The Bank of New York Co. in connection with the merger of The Bank of New York Co. and Mellon Financial Corp. (including applications to the Federal Reserve). AmSouth Bancorporation in connection with the merger of Regions Financial and AmSouth Bancorporation and the merger of their subsidiary banks (Regions Bank and AmSouth Bank) (including applications to the Federal Reserve). Wachovia in connection with its acquisition of Golden West Financial and its subsidiary, World Savings Bank (including applications to the Federal Reserve). UBS AG in connection with the establishment of a branch in Tampa, Florida (including applications to the Federal Reserve and the Office of Comptroller of the Currency) and an additional branch in New York. Popular, Inc. in connection with the acquisition of Quaker City Bancorp and the merger of Banco Popular North America and Quaker City Bank (including applications to the Federal Reserve and the New York State Banking Department). Mitsubishi Tokyo Financial Group, Inc. in connection with its merger with UFJ Holdings, the merger of The Bank of Tokyo-Mitsubishi and UFJ Bank, the merger of The Mitsubishi Trust and Banking Corporation and UFJ Trust Bank, and the merger of Mitsubishi Trust & Banking Corp. (USA) and UFJ Trust Bank of New York (including applications to the FDIC, the Federal Reserve and the New York State Banking Department). Recent Regulatory Advisory Matters Mr. Escue represents a variety of organizations with respect to U.S. banking law and regulations and their applicability to the activities and investments of both banking and non-banking organizations. Some examples of recent bank regulatory advisory representations are listed below: A large financial services organization in connection with a non-controlling private equity investment in a bank holding company. A number of organizations and individuals regarding their ability to make controlling and non-controlling private equity investments in various types of depository organizations under U.S. banking laws and regulations, including the International Banking Act, the Bank Holding Company Act, the Home Owners Loan Act, the Change in Bank Control Act, the Federal Reserve s Regulation Y and the OTS s Control Regulations. A number of large financial institutions with substantial investment management operations regarding the aggregation of various types of positions in equity securities of bank holding companies and savings and loan holding companies under U.S. banking laws and regulations. A number of U.S. depository organizations in connection with non-U.S. investments and activities and the implications of the Federal Reserve s Regulation K. A number of non-U.S. depository organizations in connection with their investments and activities involving companies engaged in business in the United States under the International Banking Act and Regulation K. A large national bank with multi-state operations regarding restrictions on branching under New York s home office protection laws. A number of clients regarding insider transactions under the Federal Reserve s Regulation O. A parent of a Utah-chartered, FDIC-insured industrial bank regarding affiliate transactions and the application of Sections 23A and 23B of the Federal Reserve Act and the Federal Reserve s Regulation W. Numerous U.S. depository institutions regarding reserve requirements under the Federal Reserve s Regulation D with respect to large custody and trust deposits. Numerous U.S. depository organizations in connection with exemptions under the Depository Institutions Management Interlocks Act.
