Michael Bookbinder has joined Spector Gadon & Rosen, P.C. as Of Counsel in its tax department and is resident in the firm's Philadelphia office. Mr. Bookbinder focuses his practice on a wide range of matters including the tax aspects of domestic and cross-border mergers and acquisitions, spin-offs and divestitures; consolidated return issues; tax due diligence; shareholder redemptions; entity selection; tax planning (domestic and international) for and operational issues of joint ventures, partnerships, limited liability companies and S corporations; recapitalizations and restructuring of businesses, including generational transfers; real estate taxation including like-kind exchanges; tax controversy; closely-held business issues; and the tax aspects of bankruptcy and workouts. Prior to joining the firm, Mr. Bookbinder was a member of the Mergers and Acquisitions tax practice of PricewaterhouseCoopers, LLP and the partnership tax group of KPMG LLP. Prior thereto, he was also a member of the tax department of Fox Rothschild LLP where he counseled clients on a variety of tax matters. Mr. Bookbinder, who is also a CPA, received an LL.M. (taxation), with distinction, from the Georgetown University Law Center, a J.D., cum laude, from the Widener University School of Law, and a B.S., with honors, in Business Administration from Drexel University. He is a member of the Pennsylvania Institute of Certified Public Accountants and the Pennsylvania Bar. He is admitted to practice before the United States Tax Court. He has written and lectured on a variety of tax-related subjects. |
